Talis Group is proud to partner with a respected, growing company seeking an experienced Senior Corporate Paralegal to join their Louisville team. This is a key, high-visibility role reporting directly to the Vice President and working closely with the Chief Legal Officer. You’ll handle sophisticated corporate governance matters and a variety of transactional projects, with opportunities to expand into real estate and contract work.

This position offers a competitive $70K–$90K salary, based on experience. A full benefits package, including health, dental, vision, and retirement plans. And a collaborative, professional environment where your expertise is recognized and valued.

Highlighted Duties:

• Manage annual disclosure filings (FDD) and maintain accurate corporate minute books.
• Draft and process franchise agreements , purchase and service agreements, and closing documents.
• Prepare and file Secretary of State documents to keep entities in good standing.
• Redline and review vendor and commercial contracts to protect company interests.
• Collaborate with the CLO and outside counsel on trademark applications and related IP matters.

Highlighted Requirements:

• 5+ years of paralegal experience focused on corporate governance and transactional/contract law .
• Strong background drafting governance documents, purchase agreements, and service agreements.
• Proven experience with state filings and regulatory compliance.
• Exceptional organizational skills, attention to detail, and clear communication .
• Proficiency in Microsoft Office Suite and comfort with modern legal tech.
